Accounts & Minutes

Articles of Association

A special resolution is brought forward with regards to the Derbyshire Wildlife Trust Articles of Association which govern how our charity operates.

The Articles of Association were last updated in 2017 and following the development of a template by The Royal Society of Wildlife Trusts in 2021 which aims to align the Articles for all Trusts, it is proposed that Derbyshire Wildlife Trust should adopt updated Articles of Association.

The updates made are to the language, to aid with clarity and to ensure Derbyshire Wildlife Trust are compliant with updated legal frameworks. The Articles are also updated with the provision for holding meetings virtually following the coronavirus pandemic and for honorary officers to remain in post for up to an additional year in exceptional circumstances.

Trustee Elections

Derbyshire Wildlife Trust Trustees remain in office for three years from the date they are elected and may stand for re-election at the end of the three year period provided they have less than six years’ service (so that they remain in office for a maximum of nine years).  A retired Trustee may stand for re-election after a “rest” period of three years.

At this years AGM, Three Trustees stand for re-election, Three co-opted Trustees stand for election and following a recruitment process one individual stands for election. Please see details below
